Court Approves Insolvency Plan for Our Organization GmbH and Closes Investor Agreement

Meyer Burger GmbH, a German solar technology company, has entered insolvency and restructuring proceedings, marking a critical juncture in its history. The company, known for its advanced heterojunction (HJT) solar cell technology, has faced global market pressures and operational setbacks, including difficulties with its U.S. expansion.

The insolvency court of Munich, Germany, confirmed the insolvency and restructuring plan for Meyer Burger GmbH in early June 2025. This followed a period of severe financial distress, leading to layoffs at the company's plants in Hohenstein-Ernstthal (Saxony) and Bitterfeld-Wolfen (Lower Saxony), which employed around 620 people combined in manufacturing and technology[1].

In the United States, Meyer Burger (Holding) Corp. filed for Chapter 11 bankruptcy protection, signalling the start of a cross-border restructuring phase. The company reported assets between $100–500 million and liabilities between $500 million and $1 billion[1][2].

Meyer Burger aims to liquidate or sell assets "free and clear" of liabilities through a Section 363 sale. The sale process, however, is complicated by complex liens and claims from creditors, including U.S. Customs and Border Protection and bondholders[2].

The company has closed an investor deal with YA II PN, Ltd. (Yorkville), a significant step towards restructuring. Sono Group N.V., a subsidiary of Yorkville, expects to exit its self-administration proceedings on February 29, 2024[3].

Meyer Burger's main objective remains contributing to the mobility transition. The company remains committed to solar-based, sustainable transportation solutions, with a focus on launching the "Solar Bus Kit" and developing its proprietary solar technology for various transportation vehicles[3].

The Solar Bus Kit is a retrofit solar integration product specifically developed for buses, designed to extend range, reduce fuel costs, and reduce the impact of CO2 emissions, paving the way for climate-friendly mobility[3].

Under new leadership, Jan Schiermeister and Denis Azhar have taken on the roles of Managing Directors of the company. Sono Group N.V. (OTCQB: SEVCF) is a pioneering force in the revolution of mobility, with a mission to make every vehicle solar[3].

In the near future, the company plans to sign additional agreements with resellers in different countries, including Hungary, where it believes the reseller relationship with Nova-Papír Zrt will lead to market entry and open up Eastern Europe as a promising potential market for its solar technology[3].

This timeline indicates a pivotal moment for Meyer Burger, where continued operations hinge on asset sales, investor deals, and strategic partnerships to salvage the company’s innovative solar technology capabilities amidst a challenging market environment.

The restructuring plan for Meyer Burger GmbH, initiated due to financial distress, involves sell-offs and asset liquidation, as the company navigates complex liabilities and bankruptcy proceedings in both Germany and the United States. Despite these challenges, Meyer Burger remains dedicated to advancing solar-based, sustainable business solutions, such as the Solar Bus Kit, and seeks strategic partnerships to revive its technology in a competitive market landscape.
